TERMS OF SERVICE

These Terms of Service (“Terms”) apply to the RankWriter.io website, product, and related services (the “Services”) operated by Stupid Simple SEO, LLC (“RankWriter”, “we”, “our”, or “us”). Please read these Terms carefully before using the Services. By accessing or using the Services, you signify that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use the Services.

1. Services Overview 

RankWriter provides an AI-powered content generation and optimization tool to help users create high-quality content optimized for search engine ranking. Users can input text, keywords, topics, and other information, which RankWriter analyzes to produce new content designed to rank highly in search results.

2. Eligibility and Registration

You must be at least 18 years of age to use the Services. If you register for an account, you agree to provide accurate and complete registration information, and to promptly update your information if it changes. Each user may register only one account, which may not be shared with others.  

3. RankWriter License

Subject to your compliance with these Terms, RankWriter grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material obtained through the Services, except as permitted under these Terms or with prior written permission from RankWriter.

4. User Content   

“User Content” refers to any material, including text, images, audio, video and documents, that you upload, transmit, store, display, distribute or otherwise make available on or submit through the Services. You retain full ownership of your User Content. By submitting User Content, you grant RankWriter a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to access, use, reproduce, transmit, modify, display, distribute, prepare derivative works of, and otherwise exploit that User Content solely to the extent necessary to provide the Services. RankWriter does not claim ownership over your User Content. 

You represent and warrant that you have all the rights necessary for you to grant the license and permissions above, and that your User Content does not infringe on any third party intellectual property rights or otherwise violate these Terms or applicable law. You are solely responsible for your User Content.

5. Prohibited Content and Activities

You may not use the Services to generate, submit, or display content that: (a) infringes or violates the intellectual property rights or any other rights of any third party; (b) is false, misleading, illegal, defamatory, obscene or otherwise objectionable; (c) contains viruses or other harmful code; (d) interferes with security, functionality or proper working of the Services; or (e) violates these Terms or any RankWriter policy. 

You also may not: (i) copy, modify, distribute, sell, or lease any part of the Services; (ii) reverse engineer, decompile or disassemble the Services; (iii) circumvent or disable any security or technological features of the Services; (iv) harvest or collect personal data of other users; or (v) otherwise use the Services in a manner inconsistent with their purpose or these Terms.

6. Payments, Taxes, and Billing

You are responsible for all applicable fees and taxes associated with your use of paid Services. We may change fees and payment policies for the Services by updating the pricing page. Your continued use of paid Services after a fee change constitutes acceptance of the new fees.  

All fees are non-refundable. You must provide a valid method of payment to process any applicable fees. You authorize us to charge your chosen payment provider for such fees. We use a third-party payment processor and your payment information is governed by their applicable terms of service and privacy policy. 

If you purchase a subscription, your payment method on file will be automatically charged each billing period until you cancel. You must keep all payment information current. All fees are non-refundable.

7. Free Trials

We may offer free trials of paid Services. Your access will expire at the end of the trial period unless you purchase a subscription. If you cancel before the end of your trial, your access may end immediately. Free trials are limited to one per user. We reserve the right to modify or terminate free trials at any time.

8. Term, Termination and Modification   

These Terms remain effective until terminated. You may terminate your account and stop using the Services at any time. RankWriter may suspend or terminate your access to the Services at any time for any breach of these Terms or if your use violates any applicable law. Upon termination, your license to User Content and access to your account will end. 

We may modify these Terms by posting a revised version with an updated effective date. Your continued use of the Services after any modification constitutes acceptance of the updated Terms.

9. Disclaimers and Limitation of Liability

THE SERVICES AND CONTENT ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKWRITER DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 

RANKWRITER IS NOT LIABLE FOR ANY LOSS, DAMAGE OR INJURY RESULTING FROM YOUR USE OF THE SERVICES OR RELIANCE ON ANY CONTENT, INCLUDING FROM ANY VIRUSES OR FAILED DELIVERY OF CONTENT.

IN NO EVENT WILL RANKWRITER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES. TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF $100 USD OR AMOUNTS PAID BY YOU TO RANKWRITER FOR ACCESS TO THE SERVICES IN THE PRIOR YEAR. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OR EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, SO SOME OF THE ABOVE DISCLAIMERS AND LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnity   

You will indemnify, defend and hold harmless RankWriter and its affiliates from any claims, damages, liabilities, losses, costs and expenses (including reasonable attorneys’ fees) arising from or relating to: (i) your use of the Services; (ii) your User Content; (iii) your violation of these Terms; or (iv) your violation of any third-party rights, including intellectual property rights.

11. Privacy Policy

Our Privacy Policy explains how we collect, use, and disclose information about you. You acknowledge you have read and understood our Privacy Policy, which is incorporated by reference into these Terms.

12. Governing Law and Jurisdiction  

These Terms are governed by the laws of the State of Connecticut without regard to conflict of law principles. You agree that any dispute arising from or relating to the Services or these Terms shall be subject to the exclusive jurisdiction of the state and federal courts in Connecticut.

13. General Terms 

These Terms constitute the entire agreement between you and RankWriter relating to their subject matter, and supersede any prior version of these Terms. If any part of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. The failure to enforce any right or provision in these Terms will not constitute a waiver. Any waiver must be in writing and signed by the waiving party. 

RankWriter may freely assign these Terms. You may not assign these Terms, by operation of law or otherwise, without RankWriter’s prior written consent.
